These Terms of Service (“Terms”) are a binding agreement between you and LiveLayer (“LiveLayer,” “we,” “us,” or “our”) governing your access to and use of the LiveLayer desktop application, the livelayer.ai website, and all related features and services (together, the “Service”). Please read them carefully.
By creating an account or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract, to use the Service. You may use the Service only in compliance with these Terms and all applicable laws.
LiveLayer is a creator toolset for action and adventure footage. The desktop application (for macOS and Windows) lets you import video, add and customize telemetry-driven overlays (such as GPS, speed, elevation, and instrument gauges), apply map overlays, reframe 360 footage, generate music and animated text overlays with AI, and export composite video and overlay assets. The livelayer.ai website provides account sign-up, billing, downloads, and pages for publicly shared content.
We may add, change, suspend, or remove features at any time, and may impose or change limits on certain features or restrict access to parts of the Service, with or without notice.
Some features require an account. You agree to provide accurate information, keep it current, and keep your credentials confidential. You are responsible for all activity that occurs under your account.
Accounts are for a single person and may not be shared. Notify us promptly at legal@livelayer.ai if you suspect unauthorized use of your account.
The Service offers free and paid tiers. Viewing and editing are generally open; certain capabilities — including watermark-free export, overlay-file export, and AI features — depend on your tier. Free, logged-in users can export composite video with a LiveLayer watermark; trial and paid subscribers export without a watermark and unlock additional capabilities.
Paid subscriptions and free trials are billed and managed through our payment processor, Stripe. By starting a subscription or trial, you authorize recurring charges to your payment method at the then-current price, plus applicable taxes, until you cancel. Subscriptions renew automatically each billing period unless canceled before the renewal date.
You may cancel at any time from your account; cancellation takes effect at the end of the current billing period, and you keep paid access until then. We may change prices or plans on a prospective basis with reasonable notice. Except where required by law, payments are non-refundable, and partial periods are not refunded.
AI features consume AI Studio Credits. Eligible subscribers receive a monthly allotment of credits that resets each billing month and does not roll over. Credits have no cash value, are non-transferable, and are non-refundable. We may change credit allotments, costs, and eligibility at any time. A generation that fails for technical reasons is not charged, or is refunded.
Subject to these Terms and your tier, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the desktop application on devices you own or control, and to use the Service to create and export your own content.
This license is for use of the Service, not a sale of software. You may not, and may not permit others to: copy, modify, distribute, sell, sublicense, rent, or lease the Service; reverse engineer, decompile, or attempt to derive its source code or underlying models, except to the extent this restriction is prohibited by law; remove or circumvent watermarks, tier limits, usage limits, or other technical measures; or use the Service to build a competing product.
"Your Content" means the video, telemetry, projects, and other materials you import or create with the Service, other than AI Content (defined below). You retain all ownership of Your Content. Most of Your Content — including your video and raw telemetry — is processed on your device and is not uploaded to us in the ordinary course of using the Service.
To the extent the Service must process or transmit Your Content to provide a feature you use (for example, fetching map tiles or rendering an export), you grant us a limited, non-exclusive license to host, cache, and process that content solely to operate and provide the Service to you. We do not claim ownership of Your Content and use it only to provide the Service to you.
LiveLayer's AI features let you generate music, animated text overlays, and other media using third-party artificial-intelligence models. Media you create through these features is referred to as "AI Content."
You retain ownership of the AI Content you create. Because LiveLayer enables, stores, and may showcase AI Content as part of the Service, you also grant us a broad license to use it. By creating AI Content, you grant LiveLayer a worldwide, perpetual, irrevocable, non-exclusive, fully paid-up, royalty-free, sublicensable (through multiple tiers), and transferable license to access, host, store, cache, reproduce, modify, adapt, translate, create derivative works from, publish, publicly perform and display, distribute, stream, sell, and otherwise use and commercially exploit the AI Content, together with its associated prompts, parameters, and metadata, in whole or in part, in any form or medium and through any technology now known or later developed, and for any purpose.
This license expressly includes the right to make AI Content available to, and usable by, other users of the Service, and to feature, promote, and incorporate AI Content into LiveLayer and its products and marketing. We may exercise these rights without any obligation of notice, attribution, accounting, or compensation to you. This license survives the termination of your account and of these Terms.
You are responsible for your prompts and for your use of AI Content, including any sharing. You must comply with all applicable laws and with the applicable policies of our AI model providers, including the Google Generative AI Prohibited Use Policy, OpenAI Usage Policies, and Anthropic Acceptable Use Policy. You must not request or create AI Content that imitates the name, voice, or style of a specific artist, reproduces or is derived from copyrighted works or trademarks, or that is otherwise unlawful, infringing, or prohibited.
AI Content is generated by automated systems. AI-generated audio carries an inaudible SynthID watermark identifying it as AI-generated; you must not remove, obscure, or misrepresent that watermark. AI-generated animated text overlays do not carry SynthID; LiveLayer instead retains server-side provenance such as the generating model, prompt, and account. You must not present AI Content as not being AI-generated.
You agree not to misuse the Service. In particular, you will not:
The Service — including the desktop application, website, overlays, designs, text, graphics, and the LiveLayer name and logos — is owned by LiveLayer and its licensors and is protected by intellectual-property laws. Except for the limited license granted to you, we reserve all rights. You may not use our names, logos, or branding without our prior written permission.
The Service relies on third-party providers, including third-party AI model providers (including Google, OpenAI, and Anthropic), Stripe (payments), and providers of mapping, storage, hosting, and analytics. Your use of features powered by these providers may be subject to their terms and policies, and AI features are additionally subject to each applicable provider's use policies. We are not responsible for third-party services, and their availability or terms may change.
Our Privacy Policy explains how we handle personal data. The desktop application can send anonymous, opt-out usage diagnostics that help us improve the Service; these diagnostics exclude your video file names, file paths, GPS coordinates, raw telemetry, and email address. You can turn diagnostics off in the app.
You agree to defend, indemnify, and hold harmless LiveLayer and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, your AI Content and prompts, or your violation of these Terms or any law or third-party right.
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or to protect the Service or other users.
Upon termination, your license to use the Service ends. Sections that by their nature should survive — including the license you granted us in AI Content, disclaimers, limitation of liability, indemnification, and these miscellaneous terms — survive termination.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice — such as by email or through the Service — and update the "Last updated" date and version below. For material changes that expand the rights you grant us, we may ask you to accept the updated Terms. Your continued use of the Service after an update takes effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The parties will first attempt to resolve any dispute informally by contacting legal@livelayer.ai. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California, except that either party may seek injunctive relief to protect its intellectual property.
